Welcome to NexDoc AI. These Terms of Service ("Terms") govern your access to and use of the NexDoc AI website, platform, and services (collectively, the "Services"), owned and operated by NexDoc AI Inc., a Delaware C-Corporation.

Please read these Terms carefully. By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.

1. Description of Services

NexDoc AI provides an AI-powered platform designed to automate complex knowledge work. Our core technology, the "Blueprint System," codifies expert workflows into structured, multi-step processes executed by a cohort of specialized AI agents.

The Services allow users to:

• Utilize a library of pre-built "Blueprints" to generate sophisticated documents such as strategic plans and market research reports.

• Securely upload and manage a private "Knowledge Base" of documents and data, which serves as the source of truth for generating content.

• Leverage AI-powered editing and collaboration tools within the "Fabric" editor.

• For Enterprise clients, co-create custom Blueprints to codify proprietary methodologies.

Our service is designed to be process-oriented and grounded in your private data to ensure consistency, eliminate hallucinations, and infuse outputs with your unique institutional knowledge.

2. User Accounts & Responsibilities

• Account Creation: To access the Services, you must register for an account, providing accurate and complete information. You are responsible for safeguarding your password and for all activities that occur under your account.

• Authorized Users: You may grant access to your account to your employees or authorized agents ("Authorized Users"). You are responsible for the compliance of all Authorized Users with these Terms.

• Acceptable Use: You agree not to use the Services for any unlawful purpose or in any way that could harm NexDoc AI, its service providers, or any other person.

3. Subscriptions, Payments, and AI Credits

• Subscription Plans: We offer several subscription tiers, including "Starter," "Business," and "Enterprise." Each plan includes a monthly per-seat subscription fee and a corresponding allotment of "AI Credits."

• AI Credits: AI Credits are used to generate assets and perform actions within the platform. The number of credits required per asset may vary based on complexity. Unused AI Credits may or may not roll over, as specified in your subscription plan details.

• Billing: You will be billed in advance on a recurring, periodic basis (typically monthly). By providing a payment method, you authorize us to charge you the subscription fees for your chosen plan.

• Cancellations & Refunds: You may cancel your subscription at any time. Cancellations will take effect at the end of the current billing cycle. Subscription fees are non-refundable except as required by law.

4. Intellectual Property Rights

• Our Intellectual Property: NexDoc AI Inc. retains all rights, title, and interest in and to the Services, including the platform, software, our pre-built Blueprints, AI agent architecture, and all related technology and documentation. This agreement does not grant you any rights to our patents, copyrights, trade secrets, trademarks, or any other intellectual property.

• Your Content (Inputs): You retain all ownership rights to the documents, data, and information you upload to your Knowledge Base ("Inputs"). You grant NexDoc AI a limited, non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and process your Inputs solely for the purpose of providing the Services to you and generating outputs as you direct.

• Generated Content (Outputs): You own all rights, title, and interest in and to the final documents and assets generated by the Services based on your Inputs ("Outputs"). You are solely responsible for the accuracy, legality, and appropriateness of your Outputs.

5. Confidentiality

NexDoc AI will treat your Inputs as confidential information and will not disclose them to any third party except as required to provide the Services, comply with the law, or as directed by you. We will implement and maintain reasonable security measures to protect your Inputs from unauthorized access and use.

6. Prohibited Uses

You agree not to use the Services to:

• Generate content that is unlawful, infringing, defamatory, or hateful.

• Reverse-engineer, decompile, or otherwise attempt to discover the source code of the Services.

• Develop a product or service that competes with NexDoc AI.

• Transmit any viruses, worms, or other malicious software.

7. Term and Termination

These Terms will remain in effect until your subscription is canceled or terminated. We may terminate or suspend your access to the Services immediately, without prior notice or liability, if you breach these Terms. Upon termination, your right to use the Services will cease, and we may delete your account and all associated Inputs.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. NEXDOC AI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL NEXDOC AI INC., ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

10. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of or related to these Terms or the Services shall be instituted exclusively in the federal or state courts located in Wilmington, Delaware.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
