Welcome to NexDoc AI. These Terms and Conditions ("Terms") govern your access to and use of the services, websites, and applications (collectively, the "Services") provided by NexDoc AI Inc. ("NexDoc," "we," "us," or "our"), a Delaware Corporation located at 1007 N Orange St., Wilmington, DE 19801, USA.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Services.

1. Description of Services

NexDoc AI provides an agentic operating system for knowledge workers, which includes pre-built workflows ("Blueprints"), autonomous AI orchestration ("Genie"), collaborative document workspaces ("Fabric"), and secure data integrations ("Knowledge Vaults"). The Services are designed to assist users in generating, editing, and managing professional documents.

2. Registration and Accounts

  • Account Creation: You must be at least 18 years old to use the Services. You agree to provide accurate and complete information when creating an account.
  • Account Security: You are responsible for safeguarding your login credentials. You must notify us immediately of any unauthorized use of your account.
  • Team Accounts: If you are an administrator of a Business or Enterprise account, you are responsible for the actions of all users added to your workspace.

3. Use of the Services

You agree to use the Services only for lawful purposes. You agree not to:

  • Use the Services to generate spam, malicious content, or content that violates any third-party rights.
  • Reverse engineer, decompile, or attempt to extract the source code or underlying AI models of the Services.
  • Use the Services to develop a competing artificial intelligence product or foundation model.
  • Bypass or circumvent any rate limits, security measures, or billing mechanisms.

4. Content and Ownership

  • Your Input: You retain all ownership rights to the data, text, files, and proprietary context you submit to the Services ("Input"), including data synced via Knowledge Vaults.
  • Your Output: Subject to your compliance with these Terms, NexDoc assigns to you all its right, title, and interest in and to the content generated by the Services based on your Input ("Output").
  • Zero Model Training: NexDoc does not use your Input or Output to train our foundation models or improve our base AI systems.
  • Compliance Storage: As outlined in our Privacy Policy, third-party infrastructure providers (e.g., API partners) may retain Input and Output transiently (e.g., up to 30 days) solely for automated abuse monitoring and Trust & Safety compliance. This data is never used for training.

5. AI Limitations and Disclaimer of Liability

Please read this section carefully as it limits our liability regarding AI-generated content.

  • Nature of AI: You acknowledge that the Services utilize probabilistic artificial intelligence models. As such, the Output may not always be accurate, complete, factual, or appropriate for your specific needs.
  • Hallucinations and Errors: The Services may generate Output that appears convincing but is factually incorrect or nonsensical.
  • No Professional Advice: The Output is not intended to serve as professional legal, medical, financial, or engineering advice. NexDoc AI is a drafting assistant, not a licensed professional.
  • User Responsibility: You are solely responsible for reviewing, fact-checking, and verifying the accuracy and legality of all Output before relying on it, publishing it, or using it in any high-stakes or professional capacity. NexDoc AI disclaims all liability for any damages, losses, or legal consequences resulting from your reliance on the Output.

6. Billing, Payments, and Refunds

  • Subscription Fees: The Services are billed on a recurring basis (e.g., monthly). You agree to pay all applicable fees based on your selected tier (Starter, Business, or Enterprise).
  • Use-It-Or-Lose-It Credits: Subscription AI credits expire at the end of each billing cycle and do not roll over to the next month.
  • Top-Ups and Overages: You may purchase non-expiring bulk credit top-ups. If your account balance becomes negative to complete an ongoing task, you must purchase a top-up to initiate new tasks.
  • Refund Policy: We offer a 7-day conditional refund for base subscriptions only if you have consumed less than 30% of your allocated monthly AI credits. If you exceed this 30% threshold or the 7-day window passes, no refunds will be issued. Bulk credit top-ups are strictly non-refundable.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXDOC AI EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NEXDOC AI INC., ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OR INABILITY TO USE THE SERVICES; (B) ANY INACCURACY OR ERROR IN THE OUTPUT.

IN NO EVENT SHALL NEXDOC'S AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100.00) OR THE AMOUNT YOU PAID NEXDOC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to defend, indemnify, and hold harmless NexDoc AI Inc. from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your Input, your reliance on any Output, or your violation of any third-party rights.

10. Modifications

We may update these Terms from time to time. If we make material changes, we will notify you by email or through a notice on the Services prior to the changes taking effect. Your continued use of the Services after the effective date constitutes your acceptance of the updated Terms.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in New Castle County, Delaware, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.
